            As from September 20, 2017, the following terms, conditions and limitations are
            imposed on thecertificate of registration held by Dr. Dung Phuong Nghiem in
            accordance with an undertaking and consent Dr. Nghiem has given to the College
            of Physicians and Surgeons of Ontario:

                               UNDERTAKING, ACKNOWLEDGEMENT AND CONSENT 
                                            ("Undertaking")

                                                  of

                                        DR. DUNG PHUONG NGHIEM
                                            ("Dr. Nghiem")

                                                  to

                             COLLEGE OF PHYSICIANS AND SURGEONS OF ONTARIO
                                            (the "College")
            ________________________________________________________________________

            A.    PREAMBLE

            (1)   In this Undertaking:

                  "Code" means the Health Professions Procedural Code, which is Schedule 2
                  to the Regulated Health Professions Act, 1991, S.O. 1991, c. 18, as
                  amended; 
                  
                  "OHIP" means the Ontario Health Insurance Plan;
                  
                  "Public Register" means the College's register that is available to the
                  public. 
                  
            (2)   I, Dr. Nghiem, certificate of registration number 63114, am a member of
                  the College. The College has received information regarding my standard
                  of practice and regarding my tutorships with the College des Medecins du
                  Quebec (CMQ).    I am currently undergoing a tutorship with CMQ.

            (3)   I, Dr. Nghiem, acknowledge that the College initiated an investigation
                  bearing File Number 7215511 (the "Investigation") into whether I engaged
                  in professional misconduct and/or am incompetent in my general medicine
                  practice. 

            (4)   I, Dr. Nghiem, acknowledge that I am currently practicing general
                  medicine in Quebec and not practicing medicine in Ontario.

            B.    UNDERTAKING

            (5)   I, Dr. Nghiem, undertake to abide by the provisions of this Undertaking,
                  effective immediately.

            (6)   I, Dr. Nghiem, undertake give the College copies of all documentation
                  provided to me regarding my tutorship with CMQ, including all reports
                  from my clinical supervisor(s) and any decisions rendered by CMQ. 

            (7)   I, Dr. Nghiem, acknowledge that any information contained in the
                  documentation described in section (6) above may result in further action
                  by the College and that after receiving the information the College will
                  decide in its sole discretion whether to take further action. 

            (8)   I, Dr. Nghiem, undertake that I will to provide a minimum of ninety (90)
                  days' notice to the College of my intent to practise medicine in Ontario.  

            (9)   I, Dr. Nghiem, acknowledge that if I provide notice of intent to return
                  to the practice of medicine in Ontario the College shall, in its sole
                  discretion, have the right to take further action, including proceeding
                  with the Investigation it terminated as a result of this Undertaking. 

            (10)  I, Dr. Nghiem, hereby agree to bear the risk of any prejudice that the
                  passage of time might cause, and waive the right to seek any remedy on
                  the basis of the passage of time, should the College proceed pursuant to
                  section (9) above.

            C.    ACKNOWLEDGEMENTS

            (11)  I, Dr. Nghiem, acknowledge that all appendices attached to or referred to
                  in this Undertaking form part of this Undertaking.

            (12)  I, Dr. Nghiem, acknowledge and undertake that I shall be solely
                  responsible for payment of all fees, costs, charges, expenses, etc.
                  arising from the implementation of any of the provisions of this
                  Undertaking.

            (13)  I, Dr. Nghiem, acknowledge that I have read and understand the provisions
                  of this Undertaking and that I have obtained independent legal counsel in
                  reviewing and executing this Undertaking, or have waived my right to do
                  so.

            (14)  I, Dr. Nghiem, acknowledge that a breach by me of any provision of this
                  Undertaking may constitute an act of professional misconduct and/or
                  incompetence, and may result in a referral of specified allegations to
                  the Discipline Committee of the College.

            (15)  I, Dr. Nghiem, acknowledge that this Undertaking constitutes terms,
                  conditions, and limitations on my certificate of registration for the
                  purposes of section 23 of the Code.

            (16)  Public Register

                  (a)   I, Dr. Nghiem, acknowledge that, during the time period that this
                        Undertaking remains in effect, this Undertaking shall be posted on
                        the Public Register.
                  
                  (b)   I, Dr. Nghiem, acknowledge that, in addition to this Undertaking
                        being posted in accordance with section (16)(a) above, the
                        following summary shall be posted on the Public Register during the
                        time period that this Undertaking remains in effect:
                  
                        Dr. Nghiem practices general medicine in Quebec where she is
                        undergoing a tutorship with the College des medecins du Quebec
                        ("CMQ"). A College investigation was conducted into Dr. Nghiem's
                        general medicine practice. 
                  
                        Dr. Nghiem has agreed to provide the College with all documents
                        regarding her tutorship with CMQ, including all reports from her
                        clinical supervisor(s) and any decisions rendered by CMQ. 
                  
                        Following the conclusion of the tutorship and CMQ's decision with
                        respect to the tutorship, the College will determine whether any
                        further action is warranted. 
                  
                        If Dr. Nghiem wishes to practice in Ontario, she will provide the
                        College with a minimum of 90 days' notice of her intent. The
                        College reserves the right to take further action in connection
                        with her return to practice in Ontario, including continuing the
                        investigation that was terminated as a result of her undertaking.
                  
            D.    CONSENT

            (17)  I, Dr. Nghiem, give my irrevocable consent to the College to make
                  appropriate enquiries of OHIP and/or any person who or institution that
                  may have relevant information, in order for the College to monitor my
                  compliance with the provisions of this Undertaking. 

            (18)  I, Dr. Nghiem, acknowledge that I have executed the OHIP consent form,
                  attached hereto as Appendix "A" and that the consent forms part of this
                  Undertaking.
